3. Placing Orders

Orders placed via the Site or through any approved channel (e.g. email or Purchase Order) do not constitute a binding agreement until confirmed in writing (typically via email). We reserve the right to reject or modify Orders at our discretion.

We are not liable for any pricing or clerical errors in our sales materials and reserve the right to correct these without liability.

Product images and descriptions are illustrative only and non-binding. We reserve the right to make substitutions or alterations provided they do not materially impact the quality or intended use.

4. Payment & Pricing

All Orders must be paid in full prior to dispatch unless agreed otherwise. Payment includes any applicable delivery charges, insurance, duties, and taxes. You’re responsible for ensuring these are met.

Prices may be adjusted without notice due to factors beyond our control (e.g. currency fluctuations, increased supplier costs).

Unless agreed otherwise, all payments must be made via bank transfer (BACS) or another approved method.

5. Registration & Accounts

To make purchases, you may need to create an account. You’re responsible for maintaining the confidentiality of your login credentials. Any actions made under your account will be treated as authorised by you unless reported otherwise.

You must keep your account details accurate and up to date.

6. Delivery, Risk & Title

Delivery dates are estimates only and may vary. Risk passes to you on dispatch. Title (ownership) only transfers once full payment is received.

If delivery fails due to your fault (e.g. no one present), we reserve the right to store the goods at your cost or sell them elsewhere and recover losses from you.

You permit us to send you notifications by email of the status of any delivery, a copy of your invoice and any other marketing or promotional events and offers.

7. Returns, Inspection & Complaints

You must inspect goods upon delivery. Any issues must be reported within 1 business day of receipt. We may reject claims raised after this period or if the goods have been altered.

8. Prohibited Use & Site Conduct

You must not misuse the Site. This includes but is not limited to:

• Uploading viruses or malicious code

• Attempting unauthorised access

• Using the Site for fraudulent or unlawful purposes

• Our liability is limited to the value of the Products purchased from us

• We are not liable for indirect, incidental, or consequential damages

• We are not liable for any failure caused by third parties or force major events

• You are under a duty to inspect the Products on delivery or on collection as the case may be.

• We shall be under no liability for any damage or shortages that would be apparent on reasonable careful inspection if the terms of this clause are not complied with and, in any event will be under no liability if a written complaint is not delivered to us within 1 day of delivery detailing the alleged damage or shortage.

• In all cases where defects or shortages are complained of we shall be under no liability in respect of the same unless an opportunity to inspect the
  Products is given to us before any use, alteration or modification is made of or to the Products by you.

13. Indemnity

You agree to indemnify and hold Axl and Ace Ltd harmless from any claims, losses, or damages resulting from:

• Your breach of these Terms

• Your misuse of the Site

• Your infringement of any rights of a third party

Interest of 12% p.a., accruing daily and compounding monthly, applies to overdue payments.

14. Termination

We may terminate your access if you:

• Breach these Terms

• Are insolvent or bankrupt

• Misuse the Site in any way

Termination does not affect any rights accrued prior to that date.

15. General

• We may amend these Terms at any time without prior notice.

• These Terms are governed by the laws of England and Wales.

• Any disputes shall be subject to the exclusive jurisdiction of the courts of London.

• If any part of these Terms is found unenforceable, the remainder will remain in full force.
